To our valued shareholders:

We at GTX Corp. (“GTX”) (OTCBB: GTXO), a pioneer in the two-way Personal Location Services (PLS) market and an industry leader in the emerging $8 Billion location based GPS market (Frost & Sullivan), would like to take this opportunity to apprise you of our recent developments.

Since our inception in 2002, we continue our ongoing efforts to create patented GPS/GPRS/GSM technologies and establish key relationships with licensed, branded partners to bring real-time tracking solutions to a host of consumer products. We are at the forefront of the next generation, round-trip GPS/GPRS/GSM platform. The company plans to embed its gpVector™ units in a host of lifestyle products and applications used to track children, the home-bound afflicted with Alzheimer's, outdoor adventurers, military personnel, police, fire, and public safety workers, and virtually any highly valued asset.

Our company continues to forge ahead with its intellectual property portfolio strategy. To date, one patent has issued (GPS Footwear-US Patent Number 6,788,200) and 13 are now pending approval, of which five have progressed sufficiently to consider possible issuance sometime later this year. In addition, we plan to file two new patent applications this quarter. While embedding GPS/GPRS/GSM in footwear is our first vertical market, we have also successfully integrated the gpVector™ module into other form factors. Additional deployments in progress include maritime applications, pet tracking, cellular handsets, and many others.

As an emerging technology company, we are particularly proud of having put in place a very well rounded and highly experienced management team, having the expertise to guide us through this period of growth and development. We recently welcomed Murray Williams, CFA, as our CFO. Mr. Williams was one of the founding members of the Buy.com management team, the second largest multi-category e-commerce company in the world. Just named CTO was Jb Bittner Eriksen, who brings over 30 years of experience in the development of consumer electronics to GTX Corp. During the past 15 years he has designed products for companies such as Kodak, Philips, Hewlett-Packard, Ricoh, and Sony. Ron Pellegrini is our Senior VP of Business Development. Prior to joining GTX he was integral in taking the Palo Alto Design Group from its infancy to becoming a company with over $100 million in annual revenues, having customers such as Dell, Compaq and Micron.  PADG was then sold to Flextronics in 1999, becoming Flextronics Design.

The Company recently signed a five-year, multi-million dollar licensing agreement with My ATHLETE LLC (www.myathlete.biz), covering the competitive non motorized athletic category. For the first time, thousands of marathoners and tri-athletes and their spectators can track individual performances in real-time.

We are very proud to be participating with Team Hoyt starting at the Boston Marathon on April 21st and four other up coming events throughout the year. Dick Hoyt (67) has pushed his quadriplegic son, Ricky, in 65 marathons to date (including 25 in Boston) and six Ironman Triathlons, among hundreds of other events. This will be a media intensive event and we invite all to track their progress via GTX’s gpVector™ platform. The Hoyts personify selfless determination and we are honored to be a part of their quest.

GTX is also a sponsor of the Alzheimer’s Association Memory Walk on October 18th, 2008 in Washington D.C. This is the largest event in the nation supporting Alzheimer care with more than 200,000 taking part. The Memory Walk has raised more than $220 million since 1989. Every 72 seconds, someone is diagnosed with Alzheimer's disease and we believe our gpVector™ tracking solutions, which can be integrated into any wearable consumer product, will be a vital instrument in their care.

As we doggedly pursue new opportunities in this fast paced market space, we never lose sight of the fact that we represent thousands of shareholders who have heard our message and support our efforts by continuing to invest in GTX Corp.  We thank you all for your participation and look forward to sharing more good news with you as it is developed.

Sincerely,

Patrick Bertagna
